1. Introduction

Welcome to Rise to Lead, a coaching brand operated by SKYGRID KENYA LIMITED (“Company”, “we”, “us”, “our”). These Terms & Conditions (“Terms”) govern your access to our website upliftsense.com and your purchase or participation in any of our coaching programs, events, masterclasses, or digital products (“Services”).

By accessing our website, registering for a masterclass, downloading a free resource, or purchasing a paid program, you agree to be bound by these Terms. If you do not agree, please do not use our Services.

These Terms incorporate our Privacy Policy and any additional guidelines we may communicate.

2. Description of Services

Rise to Lead provides personal development coaching focused on self-leadership, mental clarity, and authority resets. Our flagship offering is the Authority Reset Intensive – a 3-day virtual program – along with free masterclasses, lead magnet downloads, and optional VIP 1:1 coaching packages. All details, dates, and formats are specified on the relevant sales or registration page.

We reserve the right to modify, suspend, or discontinue any Service at any time with reasonable notice, but we will honor all paid commitments.

3. Enrollment & Payment

To enroll in a paid program, you must complete the checkout process via our payment processor (PayHero) and pay the stated fee in full unless an installment plan is offered. All prices are in Kenyan Shillings (KES) unless stated otherwise.

By providing payment information, you represent that you are authorized to use the payment method. We do not store your full credit card or M-Pesa details; all transactions are handled securely by PayHero.

We reserve the right to refuse enrollment or cancel a purchase at our discretion. If we cancel, you will receive a full refund.

4. Refund Policy — The "Do the Work" Guarantee

We stand behind the transformative potential of the Authority Reset Intensive. Our refund policy is clear and conditional:

The Guarantee: Attend all three live sessions in full, actively participate, and complete every assigned exercise. If at the end of the intensive you have not experienced a genuine internal shift in your mental authority and clarity, you may request a full refund within 48 hours of the final session’s close. Simply email privacy@upliftsense.com explaining your experience, and we will refund every shilling you paid.

Disqualifications: If you registered but failed to attend all three live sessions, or you did not complete the exercises, or you request a refund after the 48-hour window, no refund will be issued. This ensures the guarantee rewards genuine commitment, not passive observers.

For any other paid services (e.g., VIP 1:1 coaching), specific refund terms will be communicated at the point of purchase. If none are stated, the same conditional guarantee logic applies.

5. Intellectual Property

All content, materials, frameworks, and resources provided during any Rise to Lead program—including but not limited to the FACE Protocol, Hidden Contracts workbooks, the 21-Day Authority Compass, slide decks, recordings, and written exercises—are the exclusive intellectual property of SKYGRID KENYA LIMITED. They are protected by Kenyan and international copyright laws.

You are granted a limited, non-transferable, non-exclusive license to use these materials solely for your personal, non-commercial development. You may not reproduce, distribute, modify, create derivative works from, publicly display, or sell any part of the materials. You may not record or rebroadcast live sessions without our explicit written consent.

Violation of our intellectual property rights may result in immediate termination of your access and legal action.

6. Participant Conduct & Confidentiality

Our coaching environment is built on candor and trust. By enrolling, you agree to:

7. Disclaimers

Coaching is not professional advice. Our Services are educational, informational, and coaching-based. They do not constitute therapy, psychological counseling, medical treatment, legal advice, financial advice, or any other licensed professional service. You should seek appropriate licensed professionals for those needs.

No guaranteed outcomes. While our methodology is designed to produce profound internal shifts, individual results depend on your participation, application, and personal circumstances. We make no promises of specific career, financial, or relational outcomes. Testimonials shared are examples of what is possible, not guarantees.

8. Limitation of Liability

To the maximum extent permitted by applicable law, SKYGRID KENYA LIMITED, its directors, employees, and contractors shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of our Services, even if we have been advised of the possibility of such damages.

Our total liability for any claim related to our Services shall not exceed the total amount you paid to us in the twelve (12) months preceding the event giving rise to the claim, or KES 50,000, whichever is lower. This limitation applies regardless of the legal theory on which the claim is based.

Nothing in these Terms excludes liability for fraud, death, or personal injury caused by negligence, or any other liability that cannot be excluded under Kenyan law.

9. Indemnification

You agree to indemnify, defend, and hold harmless SKYGRID KENYA LIMITED and its affiliates from any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of your violation of these Terms, your misuse of our Services, or your infringement of any third-party rights.

10. Termination

We may terminate or suspend your access to our Services immediately if you breach these Terms. Upon termination, your right to use the Services will cease, and any outstanding fees remain payable. All provisions that by their nature should survive termination (intellectual property, disclaimers, liability, indemnification) shall survive.

11. Governing Law & Dispute Resolution

These Terms shall be governed by and interpreted in accordance with the laws of the Republic of Kenya. Any dispute arising out of or in connection with these Terms shall first be resolved amicably through good-faith negotiation. If unresolved within 30 days, the dispute shall be referred to binding arbitration in Nairobi, Kenya, in accordance with the Kenyan Arbitration Act, or to the appropriate court of jurisdiction.

12. Changes to These Terms

We may revise these Terms from time to time. The latest version will always be posted on this page with an updated effective date. For paid programs, the Terms in effect at the time of your purchase will apply unless we notify you of material changes and you accept them. Continued use of our Services after changes are posted constitutes acceptance of the new Terms.
